Articles of Association

SBTD is a Limited Company, (Limited by guarantee), registered in England

Companies Limited by guarantee are usually ‘not for profit’, as SBTD is. This means the company:

  • is legally separate from the people who run it
  • has separate finances from your personal ones
  • has guarantors and a ‘guaranteed amount’
  • invests any profits it makes back into the company

Memorandum and Articles of Association

When you register your company you need:

  • a ‘memorandum of association’ – a legal statement signed by all initial shareholders or guarantors agreeing to form the company
  • ‘articles of association’ – written rules about running the company agreed by the shareholders or guarantors, directors and the company secretary
